1. Who we are

AVENUEOS™ ULTRA (the "Service") is operated by EFUPAL LLC ("we", "us", "our"). By accessing or using the Service, you ("you" or "user") agree to be bound by these Terms & Conditions.

2. Acceptance

By creating an account, subscribing, or otherwise using the Service, you accept these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

3. The Service

AVENUEOS™ ULTRA is a SaaS analytics and decision-support platform providing dashboards, telemetry, AI-generated insights, and reporting tools. The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation.

4. Accounts and acceptable use

You must keep your account credentials confidential and are responsible for activity under your account. You must not:

• use the Service for any unlawful purpose, fraud, or spam;
• infringe intellectual property or other rights of any party;
• interfere with security, probe, scan, scrape, or upload malware;
• reverse engineer, resell, or redistribute the Service; or
• circumvent any technical limits or usage quotas.

5. Intellectual property

EFUPAL LLC retains all right, title and interest in the Service, including all software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service within your subscribed plan.

6. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. See our Refund Policy for details.

7. Suspension and termination

We may suspend or terminate access to the Service for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination, your right to use the Service ends immediately.

8. Warranties and liability

To the fullest extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose. Our aggregate liability arising out of or related to the Service is capped at the fees you paid to us in the twelve (12) months prior to the event giving rise to the claim. We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability that cannot be excluded under applicable law.

9. Not financial advice

AVENUEOS™ ULTRA provides analytics and decision-support information for general and educational purposes only. It is not financial, investment, legal or tax advice, and is not a recommendation to buy or sell any asset. Any decisions you make based on the Service are your sole responsibility.

10. Governing law

These Terms are governed by the laws of the jurisdiction in which EFUPAL LLC is established, without regard to conflict-of-laws principles.
